N. Kimberly Hoesl (nee Bohannon)

In practice since 2003, Ms. Hoesl has developed a broad commercial transaction and litigation practice in addition to her services as corporate counsel. Ms. Hoesl also provides estate planning, probate administration and probate-related litigation services. 


Commercial Transactions

  • Entity formation documents, LLC/LP/PLLC formation agreements, regulations, by-laws, corporate resolutions;
  • Stock purchase agreements, distributor agreements, master service agreements, equipment purchase agreements; 
  • Warranties, and terms and conditions of sale; and
  • Registering and managing commercial trademarks with the US Patent and Trademark Office.


Employment Law

  • Developing policies and policy manuals;
  • Employment agreements, offer letters and termination letters; and
  • Nondisclosure agreements, non-compete agreements.


Oil and Gas Transactions

  • Joint operating agreements, royalty agreements, participation agreements; and
  • Oil liens.


Real Property Transactions

  • Working with title experts to provide title opinions; 
  • Loan, conveyance documents, security agreements;
  • Property liens; and
  • Construction contracts and related documents.


Probate-Related Services

  • Estate Planning: Wills, powers of attorney, medical directives, and trust agreements;
  • Estate Administration: Probating wills; Representing executors in the administration of estates; and Documenting estate asset disbursement such as real property interests; and
  • Probate Litigation: Representing both executors and beneficiaries in disputes over financial assets, real property, and control of estate.


Ms. Hoesl’s litigation experience includes fiduciary litigation, disputes involving contracts, trade secrets and real estate claims, and business divorces.  Ms. Hoesl has substantial appellate experience and has argued cases before the First Court of Appeals in Houston and before the Supreme Court of Texas.  


Representative Litigation Matters

  • For a homeowner: Successfully litigated property boundary dispute;
  • For landowners: Successfully defended injunction action by pipeline company;
  • For an industrial business association: Successfully enjoined an unlawful annexation;
  • For a patient: Represented client on appeal and before the Texas Supreme Court;
  • For an independent executor: Obtained dismissal of all claims against client;
  • For a beneficiary: Represented beneficiary in claims against independent executor;
  • For an oil and gas exploration company: Represented client at trial involving offshore participation agreement;
  • For manufacturer of pipe repair technology: Represented client in prosecution of copyright infringement and false advertisement claims;
  • For a commercial HVAC company: Obtained favorable settlement of a trade secret dispute;
  • For a minority business partner: Recovered damages in breach of contract trial;
  • For an automobile dealer:  Obtained favorable settlement of partnership dispute.


Educational and Professional Background 

Ms. Hoesl earned her Doctor of Jurisprudence degree from the University of Houston Law Center (summa cum laude) after first earning her bachelor’s degree at The University of Texas at Austin (with high honors) and her Master’s Degree in Human Factors Psychology at Rice University.
